Service

By uploading or submitting any content to Gloomy Culture — including songs, lyrics, images, videos, artwork, biographical information, or other materials (collectively, "Content") — you represent and warrant that:

• You own, or have obtained, all rights, licenses, consents, releases, and permissions necessary to submit the Content and to grant the licenses described below.
• Your Content does not infringe upon, misappropriate, or violate any intellectual property, privacy, publicity, contract, or other rights of any third party.
• You have the full legal authority to agree to these Terms and to grant Gloomy Culture the rights set out here.

You keep ownership of your music and your creative work. These Terms do not transfer ownership of your Content to Gloomy Culture.

You grant Gloomy Culture a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to:

• Use, reproduce, distribute, modify, display, perform, and stream your Content in connection with the operation, marketing, and promotion of the Platform and our programs.
• Use your name, likeness, artist alias, voice, and biographical information in promotional materials across any media — including social, web, video, and print — related to the Platform.

Your music will never be used to train a generative AI model. The license above is strictly for platform operation and promotion.

If you participate as a reviewer, host, guest, or streamer on a Gloomy Culture session or broadcast:

• You agree that Gloomy Culture may use your name, likeness, voice, and any content generated during sessions or streams in marketing and promotional materials.
• You grant Gloomy Culture the same non-exclusive, royalty-free, worldwide, sublicensable license described above for any content captured during your participation.

By using the Platform, you agree that Gloomy Culture, and the hosts of any session you submit to or take part in, may contact you by email, SMS, or other communication methods regarding submissions, reviews, program updates, events, promotions, and other relevant communications. You can opt out of marketing messages at any time via the unsubscribe link in our emails.

You agree not to:

• Submit Content that is illegal, obscene, defamatory, hateful, harassing, threatening, or otherwise objectionable.
• Submit Content you do not have the rights to, including uncleared samples or other people's masters.
• Use the Platform to violate any applicable law or regulation, or to harass any artist, reviewer, or staff member.
• Attempt to disrupt, reverse engineer, scrape, or gain unauthorized access to the Platform.

Gloomy Culture reserves the right, in its sole discretion, to remove any Content or suspend any account it deems to violate these Terms.

Gloomy Culture respects intellectual property rights and expects the same from everyone using the Platform. If you believe your intellectual property has been infringed by Content on the Platform, contact us at callmekarizma@gmail.com with details of the alleged infringement and proof of ownership.

The Platform may contain links to external websites, streaming platforms, music services, payment processors, or other third-party content and services. These are provided for your convenience. We do not control them and are not responsible for their content, policies, or practices.

The presence of a third-party link is not an endorsement. If you choose to access any third-party site or service, you do so at your own risk and you waive any claim against Gloomy Culture related to that external content.

You agree to indemnify, defend, and hold harmless Gloomy Culture and its affiliates, officers, directors, employees, contractors, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your Content;
• Your use of the Platform;
• Any breach of these Terms by you.

To the maximum extent permitted by law, Gloomy Culture is not liable for any direct, indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost data — arising from your use of, or inability to use, the Platform. The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.

Gloomy Culture does not provide legal, financial, tax, or professional advice. Any guidance, feedback, or recommendations offered through the Platform, programs, or sessions are for informational and creative purposes only. You assume full responsibility for any decisions or actions you take based on such advice. Gloomy Culture is not liable for any issues, losses, or disputes arising from your reliance on or implementation of advice received through the Platform.

Gloomy Culture may suspend, restrict, or terminate your access to the Platform at any time, with or without cause and with or without notice. Sections of these Terms that by their nature should survive termination (including IP, indemnification, and limitation of liability) will continue to apply.

All sales are final and non-refundable unless explicitly stated otherwise in writing.

• Song Reviews & Priority Submissions: Payments for song reviews, priority placement, or expedited services are non-refundable once your submission has been added to the queue. By purchasing, you acknowledge the expedited service is rendered upon queue placement.
• Packages & Program Fees: All package and program fees are non-refundable. No partial refunds will be issued for unused services, sessions, or time. You may cancel your package with 30 days' written notice sent by email to callmekarizma@gmail.com. Cancellation takes effect at the end of the current billing period. Unused calls or sessions do not roll over and cannot be transferred to another party.

We may update these Terms from time to time. When we do, we'll update the Effective Date above. Material changes will be communicated through the Platform or by email. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Minnesota, and you consent to personal jurisdiction there.
